1. Eligibility

You must be at least eighteen (18) years of age to use the Site, create an account, or purchase a Backstage Pass membership. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2. Account Registration

Certain features of the Site, including the Backstage Pass membership, require you to create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your login credentials confidential and not share them with third parties.
Notify us immediately at support@thatnashvillegirl.com if you suspect unauthorized access to your account.

You are solely responsible for all activity that occurs under your account.

3. Backstage Pass Membership

3.1 Subscription and Pricing

The Backstage Pass is a paid annual membership priced at $100.00 per year. Payment is processed through Stripe, our third-party payment processor. By purchasing a membership, you authorize us to charge your designated payment method at the time of purchase and upon each annual renewal.

3.2 Automatic Renewal

YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW EACH YEAR AT THE THEN-CURRENT ANNUAL RATE UNLESS YOU CANCEL BEFORE YOUR RENEWAL DATE. By subscribing, you expressly acknowledge and agree to this automatic renewal provision. We will send a reminder notification to the email address associated with your account prior to each renewal date.

3.3 Cancellation

You may cancel your Backstage Pass membership at any time by:

Logging into your account and canceling through the member portal, or
Sending an email to support@thatnashvillegirl.com with your account information.

Cancellation will take effect at the end of your current billing period. You will retain access to membership benefits until the end of the period for which you have already paid.

3.4 No Refunds

Due to the nature of the membership and the immediate access to digital content and partner offers upon enrollment, all Backstage Pass membership fees are non-refundable. No full or prorated refunds will be issued for any reason, including early cancellation.

3.5 Membership Benefits

The Backstage Pass provides members with access to:

A gated member portal with exclusive partner offers, including discounts at participating Nashville hotels, restaurants, shops, and attractions.
QR codes and discount codes redeemable at participating partner locations.
Exclusive podcast content available only to members.

Partner offers and benefits are subject to change at any time without notice. The Company does not guarantee the availability, accuracy, or quality of any third-party partner offer.

4. Partner Offers and Third-Party Services

The Site may feature offers, promotions, and links to third-party businesses (“Partners”). These Partner offers are provided for your convenience and are subject to the terms, conditions, and policies of the respective Partners. The Company:

Does not endorse, warrant, or guarantee any Partner product, service, or offer.
Is not responsible for the accuracy, legality, or quality of Partner offerings.
Is not a party to any transaction between you and a Partner.

Any disputes arising from Partner offers must be resolved directly between you and the Partner.

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, audio and video content, podcast episodes, and software, is the property of That Nashville Girl LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Site content without our prior written consent, except as expressly permitted by these Terms.

6. User Conduct

You agree not to:

Use the Site for any unlawful purpose or in violation of any applicable law.
Share, transfer, or resell your Backstage Pass membership, QR codes, or discount codes to non-members.
Attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems.
Use automated systems (bots, scrapers, spiders) to access or collect data from the Site.
Upload or transmit viruses, malware, or other harmful code.
Interfere with the proper functioning of the Site or its infrastructure.

7. Privacy

Your use of the Site is also governed by our Privacy Policy, available at www.thatnashvillegirl.com/privacy. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy. We may share certain member information with our Partners as described therein.

8. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THAT NASHVILLE GIRL LLC, ITS OWNER, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN MEMBERSHIP FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless That Nashville Girl LLC, its owner Amanda Adams Scarlett, and its officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

11.2 Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in Cape Girardeau County, Missouri, unless the parties agree otherwise.

11.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Upon termination, your right to use the Site ceases immediately. No refund of membership fees will be issued upon termination for cause.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and That Nashville Girl LLC regarding your use of the Site and Services.
